We at METI assist our Clients in working out and carrying out extraordinary corporate finance transactions required for a variety of reasons: optimizing the corporate structure; controlling costs more effectively; relying on the most suitable tools to conquer new markets or penetrate different areas. The fiscal variable is no doubt one of the main aspects that receive continued emphasis.

Our main skills relate to the separation of lines of business by splits or incorporation into newly established companies, with a later transfer of the interest (if need be), mergers by incorporation, transfers and leases of companies, liquidation of joint stock companies and partnerships.

We carry out Tax Due Diligences investigations within transactions concerning the acquisition of stakes in industrial concerns and commercial enterprises.

In addition, we work with high-standing law firms and notary’s offices, to provide our Clients with comprehensive assistance as to all the profiles of the transaction. In this regard, we deliver personal attention to the sustainability of transactions from a statutory and corporate point of view. Later we examine the expected tax treatment and the possible optimization choices.

Our Partners have drawn up numerous Expert’s Reports and Opinions relating to assignments as Party-Appointed Expert Witnesses, working with prime Italian-based law firms as well as with the Court of Milan as Court-Appointed Expert Witnesses on an ongoing basis.

Hence we at METI can assist our Clients in assessing companies, lines of business and individual company assets.

In particular, we are involved in the following:

• evaluation of companies and company shares within generational transfers and in case of withdrawal of a shareholder;
• assessments connected with cases concerning industrial property rights and unfair competition;
• assessment of trademarks and patents.

We at METI are dedicated to assist our Clients from the start-up of the business: we carry out an accurate preliminary analysis as well as an economic and financial feasibility study, which leads to the drawing up of a business plan.

We focus our attention on incorporation, by working with law firms and notary’s offices we trust, with a view to structuring statutory choices and any shareholder agreements.

We at METI rely on our partners’ expertise in assisting multinational groups active in Italy, acquired over more than ten years in the business, to support groups throughout the stages relating to direct investments in Italy.

We place much emphasis on determining a proper combination of equity and sources of finance, examining the sources that can replace the conventional banking channel, subsidized financing, funds from public resources and, above all, obtainment of non-repayable capital or interest-rate subsidies, relating to the participation in European, national or regional calls for funding proposals. The known financial instruments include invoice trading platforms and the other FinTech products for financing working capital.

Providing suitable information as requested to access such financing channels is of the utmost importance, although it is not always easy to draw it up. Therefore, we assist our Clients in drawing up balance sheet ratios and business plans and in examining their creditworthiness.

At present, such analysis is supplemented by such ratios as worked out under the New Business Crisis and Insolvency Code for the early analysis of financial imbalance, as determined by the National Board of Chartered Accountants and Accounting Experts. We at METI assist entrepreneurs and their consultants and professionals in building the cash budget, as a key tool for quantifying prospective cash flows -at least over the next six months – and calculating the Debt Service Coverage Ratio (DSCR).
